These GroundTruth Terms of Use (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Batchnorm Technologies LLP, a limited liability partnership incorporated under the laws of India, operating as GroundTruth (“GroundTruth,” “Company,” “we,” “us,” or “our”).
By accessing, browsing, registering for, or using the GroundTruth website, platform, applications, tools, dashboards, products, services, content, or any related features (collectively, the “Platform”), you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
1. Scope and Applicability
These Terms govern your access to and use of the Platform generally.
If you also perform paid or unpaid services, tasks, or project work through GroundTruth, your use may additionally be governed by:
the GroundTruth Annotator Services Agreement,
project-specific terms or instructions,
the GroundTruth Arbitration Agreement (if applicable),
the Privacy Policy, and
any additional policies, notices, or guidelines we make available to you.
If there is a conflict between these Terms and the GroundTruth Annotator Services Agreement with respect to work performed for GroundTruth, the GroundTruth Annotator Services Agreement will control to the extent of that conflict.
2. Eligibility
To use the Platform, you represent and warrant that:
a. you are at least 18 years of age;
b. you have the legal capacity to enter into a binding agreement under applicable law;
c. you are not prohibited from using the Platform under any applicable law or sanction regime; and
d. all information you provide to us is true, accurate, current, and complete.
If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and “you” will include that organization.
3. Account Registration and Security
Certain features of the Platform may require you to create an account.
You agree to:
a. provide accurate, complete, and updated registration information;
b. maintain the confidentiality and security of your login credentials;
c. promptly update any information that becomes inaccurate or outdated; and
d. notify us immediately if you believe your account has been compromised or used without authorization.
You are solely responsible for all activity that occurs under your account, whether or not authorized by you.
We reserve the right to suspend, restrict, or terminate any account that contains false information, violates these Terms, or poses security, fraud, trust, or compliance concerns.
4. License to Use the Platform
Subject to your compliance with these Terms, GroundTruth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended lawful purposes.
This license does not grant you any ownership rights in the Platform or any of its content, software, systems, datasets, workflows, models, interfaces, or intellectual property.
We reserve all rights not expressly granted to you.
5. Platform Availability and Changes
We may modify, update, suspend, restrict, discontinue, or remove any part of the Platform at any time, with or without notice.
We do not guarantee that the Platform, or any feature, content, project, or service, will always be available, uninterrupted, secure, error-free, or compatible with your device or software environment.
We may also impose limits on access, usage, eligibility, or participation for operational, legal, quality, fraud prevention, security, or business reasons.
6. Acceptable Use
You agree to use the Platform only in compliance with these Terms, all applicable laws, and any instructions or policies made available by GroundTruth.
You must not, and must not permit or assist any third party to:
a. use the Platform for any unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purpose;
b. impersonate any person or entity or misrepresent your identity, affiliation, qualifications, or authority;
c. access or attempt to access another user’s account, data, projects, or restricted areas of the Platform;
d. interfere with, disrupt, damage, disable, overburden, or impair the Platform or any connected systems or networks;
e. use bots, scripts, automation, scraping tools, crawlers, browser extensions, macros, emulator farms, click farms, proxy networks, or similar mechanisms to access, monitor, or interact with the Platform unless expressly authorized by GroundTruth in writing;
f. reverse engineer, decompile, disassemble, copy, mirror, frame, or otherwise attempt to derive source code, system logic, prompts, workflows, or non-public functionality from the Platform;
g. bypass, disable, defeat, or circumvent any authentication, security, rate-limiting, fraud detection, moderation, or access control mechanisms;
h. upload, transmit, or distribute malware, spyware, ransomware, viruses, or other malicious code;
i. use the Platform to collect, scrape, harvest, or extract personal data, confidential information, or proprietary information without authorization;
j. use the Platform to infringe, misappropriate, or violate any person’s intellectual property, privacy, publicity, contractual, or other legal rights;
k. use the Platform in any way that could expose GroundTruth, its users, clients, or partners to legal, regulatory, reputational, or operational risk; or
l. use the Platform to build, benchmark, improve, train, or evaluate competing systems, models, datasets, products, or services except where GroundTruth has expressly authorized such use.
7. User Content and Submissions
The Platform may allow you to upload, submit, input, transmit, or otherwise provide information, data, text, files, media, responses, prompts, feedback, annotations, or other materials (collectively, “User Content”).
You are solely responsible for your User Content and represent and warrant that:
a. you have all rights, permissions, and authority necessary to submit it;
b. it does not violate any law or third-party right; and
c. it does not contain unlawful, harmful, infringing, defamatory, deceptive, or malicious material.
By submitting User Content through the Platform, you grant GroundTruth a worldwide, non-exclusive, royalty-free, fully transferable, sublicensable license to host, store, reproduce, modify, adapt, analyze, display, process, transmit, and use such User Content for the purpose of operating, maintaining, improving, securing, auditing, supporting, and providing the Platform and related services, and for any other purpose permitted by our agreements and policies.
If your User Content is submitted as part of project work or services performed for GroundTruth, ownership and usage of that content may instead be governed by the GroundTruth Annotator Services Agreement or other applicable project terms.
We are not obligated to monitor User Content, but we may review, remove, restrict, or preserve it at our discretion.
8. Feedback
If you provide GroundTruth with suggestions, ideas, comments, bug reports, feature requests, or other feedback regarding the Platform or our services (“Feedback”), you agree that we may use, disclose, reproduce, modify, commercialize, and otherwise exploit that Feedback without restriction or compensation to you.
9. Intellectual Property
The Platform, including all software, interfaces, workflows, layouts, content, text, graphics, logos, trademarks, branding, visual design, documentation, tools, systems, models, datasets, and all related intellectual property rights, are owned by or licensed to GroundTruth and are protected under applicable intellectual property laws.
Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, publish, transmit, display, perform, create derivative works from, exploit, or otherwise use any part of the Platform without our prior written consent.
“GroundTruth,” our logos, and related names, marks, slogans, and identifiers are our trademarks or licensed marks and may not be used without prior written permission.
10. Confidentiality and Restricted Information
In the course of using the Platform, you may access non-public information relating to GroundTruth, its users, its clients, its partners, or projects available through the Platform (“Restricted Information”).
You agree that you will not, except as expressly authorized by GroundTruth:
a. disclose, publish, share, post, sell, transfer, or otherwise make Restricted Information available to any third party;
b. use Restricted Information for any purpose outside the authorized use of the Platform;
c. copy, screenshot, record, export, store, scrape, or retain Restricted Information except as strictly necessary for authorized use; or
d. use Restricted Information to train, prompt, benchmark, or improve any third-party model, product, tool, or service.
This Section applies whether or not you are separately bound by a confidentiality agreement or the GroundTruth Annotator Services Agreement.
11. Third-Party Services and Links
The Platform may contain integrations, links, plug-ins, embedded tools, payment processors, authentication providers, analytics services, or other third-party services or content.
GroundTruth does not control and is not responsible for any third-party websites, services, content, products, or policies.
Your use of third-party services may be subject to separate terms and privacy policies between you and the applicable third party.
12. Payments and Paid Features
Certain features, services, tools, subscriptions, or project opportunities on the Platform may be subject to fees, payouts, eligibility conditions, verification requirements, or additional commercial terms.
If you purchase any paid feature or service through the Platform, you agree to pay all applicable charges, fees, taxes, and applicable payment processing amounts disclosed to you at the time of purchase or enrollment.
If you receive payments through the Platform for project work or services, those payments will be governed by the GroundTruth Annotator Services Agreement, project-specific terms, payout rules, or other applicable terms.
GroundTruth reserves the right to change pricing, suspend monetized features, or introduce usage-based, subscription-based, or project-based pricing at any time, subject to applicable law.
13. Privacy
Your use of the Platform is also subject to the GroundTruth Privacy Policy, which explains how we collect, use, process, store, disclose, and protect personal data and other information.
By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
14. Monitoring, Enforcement, and Investigations
To protect the Platform, our users, our clients, and our business, GroundTruth may, to the extent permitted by law:
monitor platform usage and activity,
review account behavior and submissions,
detect and investigate fraud, abuse, misuse, or policy violations,
remove or restrict content,
suspend or terminate accounts,
preserve records,
cooperate with clients, regulators, law enforcement, or legal process, and
take any other action we reasonably consider necessary to enforce these Terms or protect our legitimate interests.
You agree to cooperate with any reasonable compliance, trust and safety, fraud prevention, security, or platform integrity investigation.
15. Suspension and Termination
GroundTruth may suspend, restrict, disable, or terminate your access to the Platform, in whole or in part, at any time, with or without notice, for any reason or no reason, to the extent permitted by law, including if we believe:
a. you have violated these Terms or any other applicable agreement or policy;
b. your conduct creates legal, security, fraud, trust, safety, reputational, or operational risk;
c. your account information is inaccurate or misleading;
d. continued access is no longer commercially, operationally, or legally appropriate; or
e. we are required to do so by law, regulation, court order, client obligation, or internal policy.
You may stop using the Platform at any time.
Upon suspension or termination, your right to access and use the Platform will immediately cease, except as otherwise required by law or expressly permitted by GroundTruth.
16. Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS”, “AS AVAILABLE”, AND “WITH ALL FAULTS” BASIS.
TO THE FULLEST EXTENT PERMITTED BY LAW, GROUNDTRUTH DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, OR UNINTERRUPTED USE.
WITHOUT LIMITING THE FOREGOING, GROUNDTRUTH DOES NOT WARRANT THAT:
THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
THE PLATFORM WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
THE PLATFORM WILL BE ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS;
ANY DEFECTS WILL BE CORRECTED; OR
ANY DATA, CONTENT, PROJECTS, OR OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GROUNDTRUTH, ITS AFFILIATES, PARTNERS, CLIENTS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, REPUTATION, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, GROUNDTRUTH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
a. the total amount paid by you to GroundTruth in the three (3) months immediately preceding the event giving rise to the claim; or
b. INR 1,000.
Some jurisdictions may not allow certain limitations or exclusions, so portions of this Section may not apply to you to the extent prohibited by law.
18. Indemnity
You agree to defend, indemnify, and hold harmless GroundTruth, its affiliates, clients, partners, officers, employees, agents, licensors, and service providers from and against any claims, demands, actions, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:
a. your use or misuse of the Platform;
b. your violation of these Terms or any applicable policy or agreement;
c. your User Content;
d. your violation of any law or third-party right; or
e. your fraud, negligence, willful misconduct, or unauthorized conduct.
19. Changes to These Terms
We may revise these Terms from time to time.
Where legally required or operationally appropriate, we may notify you of material changes by posting the updated Terms on the Platform, updating the “Last Updated” date, sending an email, displaying an in-product notice, or using other reasonable means.
Your continued access to or use of the Platform after updated Terms become effective constitutes your acceptance of the revised Terms, except where applicable law requires additional consent.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved in accordance with the GroundTruth Arbitration Agreement, if applicable.
If no enforceable arbitration agreement applies, then subject to applicable law, the courts located in Pune, Maharashtra shall have exclusive jurisdiction.
Indian e-contract enforceability is strongest where users receive clear notice and provide affirmative assent (for example, checkbox or “I agree” clickwrap), and where you preserve acceptance logs/versioning.
21. General
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
GroundTruth’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. GroundTruth may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, restructuring, financing, sale of assets, or internal reorganization.
These Terms, together with any incorporated policies or agreements, constitute the entire agreement between you and GroundTruth regarding your use of the Platform, except where a separate written agreement expressly applies.
These Terms may be accepted electronically, and such acceptance shall have the same force and effect as a physical signature.
